1. Acceptance of Terms

By accessing or using the Sleuth AI Website & Slack application (“Sleuth AI”), provided by Neochrome, Inc., a California Corporation (“Neochrome,” “we,” “us,” or “our”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, do not use Sleuth AI website and/or application.

2. Description of Service

Sleuth AI integrates with Slack and connects to a large language model (LLM) (currently via Open AI API) to enhance user interactions and streamline workflows. By using Sleuth AI, you acknowledge and agree to the functionality and data sharing inherent in this integration.

3. User Responsibilities

• You agree to use Sleuth AI in compliance with all applicable laws and Slack’s terms of service.
• You are responsible for maintaining the confidentiality of your Slack account and any data processed through Sleuth AI.
• You must not use Sleuth AI for any unlawful, harmful, or abusive purposes.

4. Data Privacy

Neochrome respects your privacy. By using Sleuth AI website and application, you consent to the collection and use of your data. 

The Sleuth AI app processes data from your Slack workspace as necessary to provide its services but does not store personal data beyond what is required to deliver reminders based on dates or times in your Slack workspace messages. 

We temporarily store reminder related messages only as needed for scheduling purposes. When a false positive is submitted to us through an in-app mechanism, we may use that specific message for training purposes solely to improve the AI reminder system for all customers.

Any message used for training purposes is anonymized and will not be attributable to any individual user or group. We do not share your personalized data with any other Slack Workspaces.

5. Intellectual Property

Each individual Slack Workspace’s user generated messages are the property of their respective owner.

All intellectual property rights in Sleuth AI and related materials are owned by Neochrome. Users are granted a limited, non-exclusive, non-transferable license to use Sleuth AI as provided under these Terms.

6. Disclaimers and Limitation of Liability

Sleuth AI is provided “as is” without warranties of any kind. Neochrome disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Neochrome shall not be liable for any indirect, incidental, or consequential damages arising from your use of Sleuth AI.

IN NO EVENT WILL YOU OR NEOCHROME INC. HAVE ANY LIABILITY TO THE OTHER FOR ANY LOST PROFITS OR REVENUES OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER OR PUNITIVE DAMAGES HOWEVER CAUSED, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, AND WHETHER OR NOT THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNLESS YOU ARE ALSO A CUSTOMER (AND WITHOUT LIMITATION TO OUR RIGHTS AND REMEDIES UNDER THE CONTRACT), YOU WILL HAVE NO FINANCIAL LIABILITY TO US FOR A BREACH OF THESE USER TERMS. OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY BREACH OF THE USER TERMS IS ONE HUNDRED DOLLARS ($100) USD IN THE AGGREGATE. THE FOREGOING DISCLAIMERS WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW AND DO NOT LIMIT EITHER PARTY’S RIGHT TO SEEK AND OBTAIN EQUITABLE RELIEF.

7. Termination

Neochrome reserves the right to suspend or terminate your access to Sleuth AI at any time, without notice, for conduct that violates these Terms or is otherwise harmful to Neochrome or its users.

8. Governing Law and Arbitration

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.

Any disputes arising out of or related to these Terms or your use of Sleuth AI shall be resolved exclusively through binding arbitration in Los Angeles County, California, in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs and attorney’s fees, and the arbitrator’s decision shall be final and binding.

9. Modifications to Terms

Neochrome reserves the right to update or modify these Terms at any time. Continued use of Sleuth AI following any changes constitutes acceptance of the revised Terms.
